When the Deal Goes Sour – Best Practice for Handling M&A Disputes

The American Bar Association is one of the world’s leading professional oraganizations of lawyers. The committees of the International Section focus their work on cross-border work. For several years Hermann Knott was Chair of the International M&A and Joint Venture Committee.

A great group of international experts will discuss the structures and elements of M&A transactions which most often lead to disputes. Then, different dispute resolution mechanisms will be discussed as to which method is most appropriate for which type of dispute, thus looking at litigation in Court, Arbitration, Mediation and decisions by experts. In the final part the panel members will analyze in more detail individual clauses of acquisition agreements which are most important in the context of a dispute, in particular the dispute resolution clause itself and provisions addressing indemnities.
